Total Transaction Management Solutions, LLC ("TTM"), a California corporation, with a principal place of business at 100 E. San Marcos Blvd., Suite 403, San Marcos, CA 92069, USA, makes information, products, and services available on this website (the "Site"), subject to the following terms and conditions ("Terms"). PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS SITE. BY CONTINUING TO ACCESS THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS. "You" or "your" means you personally (i.e., the individual who reads and agrees to be bound by these terms), and, if you access this Site on behalf of a corporation or other legal entity (including, but not limited to, a partnership, LLC or LLP), collectively, you and such corporation or other legal entity on whose behalf you access the Site.

The Site is controlled and operated by TTM from the United States, and, except as expressly set forth herein, is not intended to subject TTM to the laws or jurisdiction of any state, country or territory other than that of the United States. TTM does not represent or warrant that the Site or any part thereof is appropriate or available for use in any particular jurisdiction other than the United States. In choosing to access the Site, you do so on your own initiative and at your own risk, and are responsible for complying with all local laws, rules and regulations. You are also subject to U.S. export controls and are responsible for any violations of such controls, including any U.S. embargoes or other federal rules and regulations restricting exports. TTM may limit the Site's availability, in whole or in part, to any person, geographic area or jurisdiction TTM chooses, at any time and in TTMs sole discretion.

Your submission of information through the Site is governed by TTMs Privacy Statement, which is located at http://www.ttmsolutions.com/TTM_Privacy_Statement.php (the "Privacy Policy") and is hereby incorporated into these Terms by this reference. You represent and warrant that any information that you provide in connection with your use of the Site is and shall remain true, accurate, and complete, and that you will maintain and update such information regularly.

  3. Software. Any software that is made available to download by or through this Site ("Software") is the copyrighted work of TTM, its suppliers and/or its licensors. Use of the Software may be governed by the terms of the software license agreement or other agreement applicable to the Software (each, a "License Agreement"). You may not install any Software that is accompanied by or includes a License Agreement unless you have agreed to the applicable License Agreement terms.

    The Software is made available for downloading solely for use by end users in accordance with the Software License Agreement and/or these Terms. Except to the extent expressly permitted in any applicable License Agreement, or expressly authorized under applicable law overriding any of the following restrictions, you agree that you will not sell, lease, lend, convey, transmit, modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or attempt to derive source code from the Software.

    Any reproduction, redistribution or other use or exploitation of the Software not in accordance with the Software License Agreement and/or these Terms is expressly prohibited by law, and may result in civil and criminal penalties. Violators will be prosecuted to the maximum extent permitted under law and equity. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED, UNLESS SUCH REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PERMITTED BY ANY LICENSE AGREEMENT ACCOMPANYING SUCH SOFTWARE.

  4. Proprietary Rights. The materials, information, and graphics on the Site (the "Materials") are protected by copyright laws and other laws relating to intellectual property rights. For the avoidance of doubt, "TTM" is a trademark of Total Transaction Management Solutions, LLC; all other trademarks are the property of their respective owners. TTM authorizes you to view and browse the Materials at the Site, and download and print one (1) copy of materials that TTM specifically makes available for download (such as white papers), for your personal, non-commercial use, provided that you do not modify such Materials, and provided further that you retain all copyright and proprietary notices contained in the original Materials on any copies you may make of such materials. Any reproduction, public display, distribution or other use of these Materials for any commercial purpose is strictly prohibited without the prior written consent of TTM. TTM does not hereby grant any licenses, either express or implied, under any of its patents, copyrights or other intellectual property rights to any Materials, including the Software. All such licenses, if any, are granted through a separately- provided Software License Agreement.

  5. Disclaimer of Warranties. THE MATERIALS ON TTMs WEBSITE ARE PROVIDED "AS IS" AND COULD INCLUDE ERRORS, OMISSIONS, OR TECHNICAL INACCURACIES. TTM MAKES NO W ARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS AND NEGA TES ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON- INFRINGEMENT OF INTELLECTUAL PROPERTY OR OTHER VIOLATION OF RIGHTS. FURTHER, TTM DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY, LIKELY RESULTS, OR RELIABILITY OF THE USE OF THE MATERIALS ON THE SITE OR OTHERWISE RELATING TO SUCH MATERIALS OR ON ANY SITES LINKED TO THE SITE.

  6. Limitation of Liability. IN NO EVENT SHALL TTM OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA OR PROFIT, OR DUE TO BUSINESS INTERRUPTION), ARISING OUT OF THE USE OR INABILITY TO USE OR ACCESS THE MATERIALS ON THE SITE, EVEN IF TTM OR A TTM-AUTHORIZED REPRESENTATIVE HAS BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGE. You may not use the Site to advertise or offer to sell or buy any goods or services without TTMs express prior written consent. You may not use the Site for any fraudulent purpose (including, without limitation, the impersonation of any person or entity, or the misrepresentation of your affiliation with any person or entity) or any other unlawful purpose.

  9. Forums. "Forum" means a discussion group, chat area, bulletin board, news group, feedback, letter(s) to TTM, its webmaster or employees, e-mail function or other interactive functionality offered as part of this Site. Information on TTMs Forums may be provided by TTM or by third party users of the Site. Please note that Site users may post messages or make statements in the Forums that are inaccurate, misleading or deceptive. The opinions expressed in the Forums reflect solely the opinions of the individuals who submitted such opinions, and may not reflect the opinions or endorsement of TTM and/or its suppliers. TTM and/or its suppliers and licensors and its and their directors, officers, employees, agents and representatives have no control over, and shall have no liability for, any damages resulting from, the use (including without limitation republication) or misuse by any third party of information voluntarily made public through any Forum or any other part of the Site. YOU ACKNOWLEDGE AND AGREE THAT ANY COMMENT YOU POST TO THE SITE WILL CONTAIN A DESCRIPTOR THAT WILL IDENTIFY YOU AS THE PERSON POSTING THE COMMENT. In addition, you warrant that all so-called moral rights in the content have been waived. For each Submission, you represent and warrant that you have all rights necessary for you to grant the licenses granted in this section, and that such Submission, and your provision thereof to and through the Site, comply with all applicable laws, rules and regulations.

  11. Monitoring. You acknowledge and agree that TTM reserves the right (but has no obligation) to do one or more of the following in TTMs discretion: (i) monitor Submissions as well as access to the Site; (ii) alter, remove, or refuse to post or allow to be posted any Submission; and/or (iii) disclose any Submissions, and the circumstances surrounding their transmission, to any third party in order to operate the Site; to protect TTM, and its respective employees, officers, directors, shareholders, affiliates, agents, representatives, suppliers or licensees, and the Site's users and visitors; to comply with legal obligations or governmental requests; to enforce these Terms; or for any other reason or purpose. TTM disclaims any responsibility for content submitted by users on or through any area of the Site.
